1. Introduction

These Terms of Service (“Terms”) govern your use of the website and services provided by Michelson Investment Team (“Company,” “we,” “us,” or “our”). By accessing or using our platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must discontinue your use of the Site and Services immediately.

Michelson Investment Team is a real estate dispositions wholesale company that partners with wholesalers to market properties to investors through a wholesale assignment model.

2. Services

Michelson Investment Team offers a platform that enables wholesalers to market real estate investment properties to investors. Properties are sold on a first-come, first-served basis, and no bidding wars will be conducted. Investors are given an opportunity to review properties listed by wholesalers and proceed with the purchase under the terms and conditions outlined in the respective assignment contracts.

3. Wholesaler Guidelines

Wholesalers wishing to market their properties through our platform must meet the following criteria:

  1. Agreement: Sign a non-exclusive joint venture or option agreement with Michelson Investment Team.
  2. Documentation: Provide a copy of the original purchase and sale agreement for each property.
  3. Full Disclosure: Disclose all known terms, conditions, and property details, including any known defects, liens, or encumbrances that could affect the transaction.

4. Investor Guidelines

Investors wishing to purchase properties through Michelson Investment Team must adhere to the following guidelines:

  1. Due Diligence: Complete all necessary due diligence before executing an assignment contract for any property.
  2. Earnest Money Deposit (EMD): Deposit a 3% non-refundable Earnest Money Deposit (EMD) into escrow by 12 PM on the next business day after executing the assignment contract.
  3. Closing: Close the transaction by the specified close-of-escrow date.
  4. Sight-Unseen Purchases: For properties purchased sight-unseen, investors must deposit the EMD prior to accessing the property or conducting any final walkthrough, which will not serve as a formal inspection.
  5. Timing of Commitment: Once committing to purchase a property and executing the assignment contract, investors must sign the assignment agreement within two hours. If the investor fails to do so, the property may be offered to a backup buyer.

5. EMD Refund Policy

  • Seller Breach: If the seller breaches the agreement or fails to deliver clear title, the investor will receive a full refund of the Earnest Money Deposit (EMD).
  • Investor Breach: If the investor breaches the contract, the EMD will be forfeited, and no refund will be issued. No release of the EMD is necessary for this forfeiture.

6. Non-Circumvent

  • Investors: Investors are prohibited from contacting the original property sellers directly. You agree to work exclusively through Michelson Investment Team to facilitate all communications and transactions.
  • Wholesalers: Wholesalers are prohibited from contacting the investors who purchase their properties. All communications between wholesalers and investors must be conducted through Michelson Investment Team.

7. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, software, and other materials, is the property of Michelson Investment Team or its licensors and is protected by intellectual property laws. By using the Site and Services, you agree not to reproduce, distribute, modify, or create derivative works based on the content, except as explicitly permitted by these Terms.

Michelson Investment Team grants you a limited, non-exclusive, non-transferable license to access and use the Site and Services for personal, non-commercial purposes.

8. Privacy Policy

Your use of the Site and Services is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Site, you consent to the practices described in the Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Michelson Investment Team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site or Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the Site shall be limited to the amount you paid for the Services in the 12 months preceding the event that gave rise to the claim.

10. Dispute Resolution

  • Arbitration: Any dispute or claim arising out of or relating to these Terms or the Services must be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA) for commercial arbitration. The arbitration will take place in California, unless otherwise agreed upon by the parties.
  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
  • Venue: Any legal actions arising out of or related to these Terms must be filed in the courts located in California, and you consent to the exclusive jurisdiction of such courts.

11. Indemnification

You agree to indemnify, defend, and hold harmless Michelson Investment Team, its officers, employees, agents, and representatives from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of:

  • Your violation of these Terms.
  • Your use of the Site or Services.
  • Any breach of contract, intellectual property infringement, or violation of any applicable laws or third-party rights.

12. Termination

Michelson Investment Team reserves the right to suspend or terminate your access to the Site and Services, at our sole discretion, if we believe you have violated these Terms. Upon termination, all rights granted to you under these Terms will cease immediately, and you must stop using the Site and Services.

13. Changes to Terms of Service

Michelson Investment Team reserves the right to modify, amend, or revise these Terms at any time. We will notify users of significant changes by posting the updated Terms on the Site, and the revised Terms will be effective immediately upon posting. By continuing to use the Site and Services after such changes, you consent to the updated Terms.

14. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Michelson Investment Team regarding your use of the Site and Services. Any prior agreements, whether oral or written, related to the subject matter of these Terms, are superseded by this agreement.
